Welcome to the Higgs AI Cogni Map System ("Service"), operated by Higgs AI LLC ("Company," "we," "us," or "our"), a Wyoming limited liability company. By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms").

1. Acceptance of Terms

By creating an account, purchasing credits, or using any part of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Description of Service

The Cogni Map System is an AI-powered analysis platform that enables users to interact with structured knowledge bases ("Cogni Maps") through conversational interfaces. The Service utilizes artificial intelligence technologies provided by third parties, including Google (Gemini) and Anthropic (Claude).

2.1 What We Provide

Access to pre-built Cogni Maps for specialized analysis
Ability to upload and use custom Cogni Map JSON files
Conversation history storage and export
Researcher Mode for debugging and transparency

2.2 What We Do NOT Provide

3. Credit System and Payments

3.1 Prepaid Credits

The Service operates on a prepaid credit system. You must purchase credits before using the AI chat features. Each chat message consumes one (1) credit.

3.2 Pricing

Current credit packages (subject to change):

50 credits for $5.00 USD
120 credits for $10.00 USD
350 credits for $25.00 USD

3.3 Payment Processing

All payments are processed securely through Stripe, Inc. By making a purchase, you also agree to Stripe's Terms of Service. We accept major credit cards and ACH bank transfers.

3.4 Refund Policy

Credits are non-refundable except in cases of:

Technical errors preventing credit delivery after successful payment
Duplicate charges due to system error
Service unavailability exceeding 48 consecutive hours

Refund requests must be submitted within 30 days of purchase to kamden@higgsaillc.com.

3.5 Chargebacks and Disputes

If you dispute a charge with your bank or credit card company:

Your account may be suspended pending resolution
Credits associated with the disputed payment will be removed
We reserve the right to terminate accounts with repeated chargebacks
Please contact us first at kamden@higgsaillc.com to resolve any billing issues

3.6 Credits and Service Availability

Credits represent prepaid access to the Service. We do not guarantee:

Uninterrupted or error-free service availability
That credits will be usable at any specific time
Specific response times or processing speeds

We will make reasonable efforts to maintain service availability but are not liable for interruptions due to maintenance, third-party service outages, or circumstances beyond our control.

4. User Accounts

4.1 Age Requirement

You must be 18 years of age or older to use this Service. By creating an account or making a purchase, you represent and warrant that you are at least 18 years old.

4.2 Account Creation

You may create an account using Replit authentication, which supports Google, GitHub, or email login. You are responsible for maintaining the confidentiality of your account credentials.

4.3 Account Responsibilities

You agree to:

Provide accurate and complete information
Maintain the security of your account
Notify us immediately of unauthorized access
Accept responsibility for all activities under your account

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service for lawful purposes including research, analysis, education, and personal inquiry.

5.2 Prohibited Uses

You may NOT use the Service to:

Generate content that is illegal, defamatory, or harassing
Attempt to extract or reverse-engineer AI model weights
Circumvent credit requirements or usage limits
Impersonate another person or entity
Upload malicious code or Cogni Maps designed to exploit the system
Use automated systems to abuse the Service
Violate any applicable laws or regulations

6. Intellectual Property

6.1 Our Content

The Service, including its design, code, built-in Cogni Maps, and documentation, is owned by Higgs AI LLC and protected by intellectual property laws. The Cogni Map architecture and format are proprietary to Higgs AI LLC.

6.2 Your Content

You retain ownership of any custom Cogni Maps you create and upload. By uploading content, you grant us a limited license to process and display that content solely to provide the Service to you.

6.3 AI-Generated Outputs

Outputs generated by the AI in response to your queries are provided for your use. You may use, modify, and share these outputs, subject to any applicable third-party terms (e.g., Google's or Anthropic's usage policies).

6.4 Third-Party AI Provider Terms

The Service utilizes AI technologies from third-party providers including Google (Gemini API) and Anthropic (Claude API). Your use of AI-generated outputs is also governed by:

In the event of conflict between these Terms and third-party provider terms regarding AI output usage, the third-party provider terms shall take precedence for matters within their scope.

7. Non-Reliance Disclaimer

Do Not Rely on AI Outputs for Critical Decisions

AI-generated content may contain errors, inaccuracies, or biases. You expressly acknowledge and agree that:

AI outputs should NOT be the sole basis for legal, medical, financial, or other critical decisions
You must independently verify any information before relying on it
We are not responsible for decisions made based on AI outputs
AI systems can generate plausible-sounding but incorrect information
You assume all risk associated with your use of AI-generated content

8. Content-Specific Disclaimers

Charlie Kirk Forensic Explorer Map

The "Charlie Kirk Assassination Forensic Explorer" Cogni Map contains analysis of an ongoing legal matter. Users must understand:

Presumption of Innocence: Tyler James Robinson is the accused in this case. He has been charged with aggravated murder. He has not been convicted. Under the United States legal system, he is presumed innocent until proven guilty in a court of law.
Not Legal Advice: This analysis is for informational purposes only and does not constitute legal advice.
Accuracy Limitation: All conclusions are probabilistic assessments based on publicly available information, not certainties.
No Defamation: This system does not state guilt. All outputs use legally appropriate language ("allegedly," "the accused," "charged with").

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

The Service is provided "AS IS" without warranties of any kind, express or implied.
We do not warrant that outputs will be accurate, complete, or suitable for any particular purpose.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Our total liability shall not exceed the amount you paid for credits in the preceding 12 months.

10. Indemnification

You agree to indemnify and hold harmless Higgs AI LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms. Upon termination:

Your access to the Service will be revoked
Unused credits will be forfeited (except in cases of wrongful termination)
Your data may be deleted in accordance with our Privacy Policy

12. Dispute Resolution

Any disputes arising from these Terms shall be:

Governed by the laws of the State of Wyoming
Subject to binding arbitration in Wyoming, unless prohibited by law
Brought within one (1) year of the claim arising

12.1 Class Action Waiver

You agree to resolve any disputes with us on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration against Higgs AI LLC.

13. Force Majeure

We are not liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of government, power outages, internet service provider failures, third-party service outages, or cyberattacks.

14. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use after changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and Higgs AI LLC regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral.
